Standard Terms and Conditions of Sale
1. Introduction
1.1 These Terms and Conditions (“Terms”) apply to the sale of services provided by OdooMadeEasy (“Service Provider,” “we,” “us,” or “our”) to the customer (“Customer,” “you,” or “your”). By engaging our services, you agree to these Terms.
1.2 These Terms govern all services provided by us and are enforceable under UK law.
2. Services
2.1 OdooMadeEasy offers a range of Odoo-related services, including but not limited to installation, configuration, customisation, and support services (“Services”).
2.2 The specific services to be provided will be outlined in the agreement or proposal accepted by the Customer.
3. Prices and Payment
3.1 Prices for our services are as stated in the relevant proposal or order confirmation. All prices are exclusive of VAT, unless stated otherwise.
3.2 Payment terms are agreed upon between the Customer and OdooMadeEasy at the time of contracting. Standard payment terms are Immediate Payment from the date of the invoice unless otherwise agreed in writing.
3.3 In case of non-payment or delayed payment, we reserve the right to charge interest at a rate of 8% per annum above the Bank of England base rate as permitted by the Late Payment of Commercial Debts (Interest) Act 1998.
4. Delivery of Services
4.1 OdooMadeEasy will use reasonable efforts to deliver services as outlined in the agreement. However, timeframes for delivery are estimates and not guarantees.
4.2 The Customer acknowledges that any delays caused by unforeseen circumstances, including but not limited to client delays or resource limitations, are not the responsibility of OdooMadeEasy.
5. Cancellation and Termination
5.1 The Customer may cancel the order or terminate the agreement by providing written notice. Cancellation or termination is subject to payment for services already rendered up to the point of cancellation.
5.2 OdooMadeEasy may terminate the agreement in the event of the Customer’s failure to pay, breach of terms, or if the Customer becomes insolvent.
6. Liability and Limitation of Liability
6.1 OdooMadeEasy shall not be liable for any indirect, consequential, or special damages arising out of or in connection with the provision of services.
6.2 Our liability to the Customer for any direct loss or damage shall be limited to the amount paid by the Customer for the specific service in question.
6.3 OdooMadeEasy shall not be liable for any loss of profits, data, or business opportunities.
7. Intellectual Property
7.1 All intellectual property rights in materials, software, and other products used in the performance of the Services shall remain the property of OdooMadeEasy or its licensors.
7.2 The Customer is granted a non-exclusive, non-transferable license to use any software or materials provided under the terms of the agreement solely for its internal business purposes.
8. Confidentiality
8.1 Both parties agree to keep all information, whether in written or oral form, related to the services confidential, except as required by law.
9. Governing Law and Jurisdiction
9.1 These Terms are governed by and construed in accordance with the laws of the United Kingdom.
9.2 Any disputes arising from the services provided by OdooMadeEasy shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Force Majeure
10.1 Neither party will be liable for failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, or government restrictions.
11. Amendments
11.1 OdooMadeEasy reserves the right to amend these Terms at any time. Any amendments will be effective immediately upon notice to the Customer.
